TCA Tanoira Cassagne acts as legal counsel (deal counsel) in the creation of the individual financial trust “Desarrollo Minero Martín Bronce” (the “Trust”), a pioneering vehicle in the argentine market designed to provide financing for an active copper mining project for a maximum amount of USD 10,000,000.

The Trust will support the launch and expansion of the “Martín Bronce” copper processing plant, owned by MOM Mining S.R.L., located in Palma Sola, Jujuy Province, currently the only operational copper production project in Argentina. As La Nación noted: “The ‘Desarrollo Minero Martín Bronce’ trust will become the first in the country specifically intended to finance a mining project.”

The initiative opens a new channel for private capital to flow into a real mining operation and provides a framework of transparency, fund flow control, and a structure aligned with the growing global demand for essential metals for new technologies. As Infobae highlighted: “The Individual Financial Trust ‘Desarrollo Minero Martín Bronce’ channels private investment toward the country’s only active copper mine.”

Additionally, Mase Neuquén emphasized: “For the first time in the history of the argentine capital markets, a financial trust focuses exclusively on financing the actual production of metallic copper”.

The Trust offers two types of securities:

(a) Fiduciary Debt Securities: with a fixed nominal annual rate of 7%, maturing on November 9, 2027, and 100% guaranteed by U.S. Treasury Bonds, plus additional returns linked to copper price performance.

(b) Participation Certificates: maturing on January 9, 2029, with remuneration corresponding to 15% of the gross revenue from copper sales.

The project’s cash flow is supported by an offtake agreement with Trafigura, one of the world’s largest commodity traders.

The Trust is currently in its offering period, with the subscription process scheduled for December 10, 2025, and settlement on December 12, 2025.

This structure sets a precedent for financing large-scale productive projects by promoting private investment, foreign exchange generation, local development, and mining practices with an environmental and social focus.

At TCA Tanoira Cassagne, we are proud to support the creation of the Trust, a decisive step in expanding investment alternatives and strengthening the financing of strategic productive projects.

Deal Counsel: TCA Tanoira Cassagne acted through a team led by partners Alexia Rosenthal and Jaime Uranga; and Associates Carolina Mercero and Florencia Ramos Frean.
