TCA Tanoira Cassagne acted as sole legal counsel on the issuance of sharres corresponding to the corresponding to the fifth tranche of the Closed-End Mutual Investment Fund “ADBLICK GANADERÍA FONDO COMÚN DE INVERSIÓN CERRADO AGROPECUARIO” for an amount of AR$ 1,552,240,697.46 (the “Fund”).
The Shares were successfully placed on August 20, 2026.
The Fund is constituted for the exclusive purpose of granting profitability to the investors by investing in (i) equity rights represented or not by securities, with or without public offering of companies and/or vehicles, which may qualify as Pymes CNV according to the provisions of the CNV Rules, engaged in agricultural and livestock exploitation, including those in which ADBlick Agro S.A. and its controlling and controlled companies are parties to, (ii) negotiable obligations with or without public offering, secured or unsecured, issued by companies, which may qualify as Pymes CNV according to the provisions of the CNV Rules, engaged in agricultural business, including those in which ADBlick Agro S.A. and its controlling and controlled companies are parties to.
The Fund provides for a single class of condominium shares. Each Share is entitled to one (1) vote, to participate in the distribution of profits that may be decided by the Manager as provided in the Regulations and to participate in the remainder that may exist at the time of liquidation of the Fund for any of the reasons contemplated in the Regulations after the cancellation of all the obligations of the Fund derived from the payment of taxes, rates, contributions, reserves, expenses, liabilities, including the expenses and fees payable by the Fund.
The shares of the Fund have been authorized for their listing in Bolsas y Mercados Argentinos S.A.
The transaction involved Allaria Fondos Administrados Sociedad Gerente de Fondos Comunes de Inversión S.A., as Management Company, Banco Comafi S.A., as Depositary Company, and Allaria S.A., as Lead Organizer and Placement Agent, with TCA Tanoira Cassagne acting as legal counsel.
